These Terms and Conditions apply to all professional corporate services offered by Zbs Digital Marketing (hereinafter referred to as “the Agency”). By engaging our services, signing a Service Level Agreement (SLA), or issuing a Commencement Order, you (hereinafter referred to as “the Client”) explicitly are legally bound by these terms.
Performance Reporting: Revisions or deep-dives into monthly performance reports must be requested within 7 calendar days of delivery.
Campaign Optimizations: Live campaign adjustments are continuously executed based on real-time GCC market performance metrics and ROAS targets.
Strategic Revisions: Approved modifications to campaign briefs or targeting strategies will be implemented within 48 business hours.
Development Revisions: Unlimited design and structural revisions are permitted during the active development phase, provided the original project scope remains unchanged.
Review Window: Revision requests must be formally submitted within 7 calendar days of initial layout or staging delivery.
Turnaround Time: Standard modifications are processed within 48 business hours.
Scope Creep: Major structural changes requested outside the signed project scope will incur additional scoping fees billed at our standard corporate hourly rate.
Included Rounds: Two (2) comprehensive rounds of revisions are included per individual deliverable.
Submission Window: Revision requests must be submitted within 5 business days of draft or calendar delivery.
Completion: Approved edits will be finalized and deployed within 24 to 48 business hours.
Pre-Kickoff: 100% refund (minus a 10% administrative and onboarding fee) if the project is formally canceled in writing before any strategic or production work begins.
Within 48 Hours: 66% refund of the initial deposit if canceled within 48 hours of official project kickoff.
Within 48–96 Hours: 33% refund of the initial deposit if canceled between 48 and 96 hours of project kickoff.
Post-96 Hours: No refunds will be issued after 96 hours from project kickoff or once the first round of revisions/concepts has been requested.
Performance Marketing & SEO: No refunds are applicable once a campaign framework has been deployed live or indexing strategies have commenced.
Web Development: No refunds are applicable following the formal digital approval of the UI/UX design mockups or wireframes.
Graphic, Logo & Brand Design: No refunds are applicable once the initial visual concepts or brand vectors have been presented.
Paid Media Ad Spend: Under no circumstances are refunds issued for direct ad spend budget consumed on Google Ads, Meta Ads, TikTok Ads, Snapchat Ads, or other regional networks.
Content Copywriting: No refunds are applicable following the delivery of the initial copy draft or content structure.
Social Media Management: No refunds are applicable once the monthly content calendar or asset grid has been formally approved.
All agency deliverables undergo rigorous internal Quality Assurance (QA) auditing before being presented for Client review.
The Agency strictly adheres to international web standards, data tracking protocols, regional advertising compliance guidelines, and modern digital marketing benchmarks.
Continuous performance monitoring and data verification are conducted to maintain peak campaign efficiency and platform health.
To maintain strict project delivery Timelines, the Client agrees to:
Provide all corporate assets, brand high-res files, secure platform access credentials, and clear requirement briefs in a timely, organized manner.
Respond to critical strategic queries or asset requests within 5 business days.
Review deliverables and provide consolidated feedback within the mutually agreed-upon testing timeframes.
Maintain clear, active, and professional communication through designated project channels throughout the contract duration.
The following timelines represent standard delivery frameworks. Actual milestones will be specified in your customized project SLA:
Custom Website Development: 4 – 8 weeks (subject to structural complexity and integration requirements).
Digital Campaign Setup (PPC/Paid Social): 5 – 7 business days following asset and access provisioning.
SEO Strategic Program: Initial technical audit and core optimizations completed within 15 – 20 business days.
Corporate Graphic Design: 2 – 7 business days depending on visual complexity.
Enterprise Content Writing: 3 – 5 business days per major asset or article.
Social Media Setup & Initial Content Calendar: 7 calendar days.
Expedited/Rush Delivery: Prioritized execution is available upon request, subject to an expedited premium fee.
Project Base Pricing: Billed exclusively in United Arab Emirates Dirhams (AED) or US Dollars (USD) as specified in the commercial invoice.
Standard Project Terms: A fixed 80% advance payment is due at project kickoff, with the remaining 20% balance due immediately upon project completion and prior to final asset/site handover.
Monthly Retainers: Performance marketing, SEO, and social media retainers are billed 100% in advance of the service month.
Accepted Settlement Methods: Electronic Funds Transfer (EFT) / Direct Bank Wire to our corporate bank account, or secure authorized corporate credit card processing links.
Late Settlement Penalty: Outstanding invoices past their due date are subject to a 2% monthly compound interest charge until fully cleared.
Final Deliverables: Complete intellectual ownership and usage rights of the finalized deliverables transfer to the Client exclusively upon full settlement of all outstanding balances.
Preliminary Concepts: The Agency retains all proprietary and creative rights to rejected concepts, early drafts, and structural variants not selected for final execution.
Client Materials: All data, copy, imagery, and intellectual properties provided by the Client remain the sole uncompromised property of the Client.
Portfolio Rights: The Agency reserves the right to showcase completed creative assets, web interfaces, and high-level case study metrics in our professional portfolio, unless a strict Non-Disclosure Agreement (NDA) stating otherwise is signed prior to kickoff.
The Agency enforces strict confidentiality measures regarding all Client business data, operational strategies, audience analytics, and financial figures.
Secure management protocols are utilized to safeguard all platform access credentials, API keys, and proprietary methodologies against unauthorized disclosure.
The Agency reserves the right to immediately suspend services or terminate the active agreement if:
Any payment term is breached, or an invoice remains outstanding beyond the specified grace period.
The Client goes completely unresponsive, failing to communicate or provide feedback for more than 18 business days.
Core project requirements or scopes shift significantly without a mutually signed Addendum.
The Client violates regional commercial compliance laws or breaches any clause within these terms.

Casual messaging applications (e.g., WhatsApp) do not constitute official approval channels for scope changes or contractual confirmations.
The Agency’s total cumulative liability for any claims, losses, or legal damages arising directly from service delivery shall strictly be limited to the total fees paid by the Client for that specific service or milestone under the immediate dispute.
The Agency shall not be held liable for indirect, consequential, or incidental damages, including but not limited to loss of revenue, drop in search rankings, platform policy changes, or organic market shifts.
These terms shall be governed by, interpreted, and enforced in accordance with the laws of the United Arab Emirates (or the specific jurisdiction of the Dubai International Financial Centre – DIFC where applicable).
In the event of a commercial dispute, both parties commit to an initial 30-day period of direct, good-faith executive negotiation.
If a resolution is not achieved, the matter shall be escalated to professional mediation, and finally, to binding arbitration under local legal frameworks.
